Torq Terms & Conditions and CUSTOMER AGREEMENT

By placing this order you agree to the following terms and conditions:
•Offer for new customers only.

•If you cancel your order prior to installation, we will issue a full refund.

•If you cease to be TORQ®'s customer for any reason (whether voluntarily or involuntarily), you must call TORQ® within five (5) days after the termination of your TORQ® services to (i) make arrangements for TORQ® to pick up all of your TORQ® equipment; or (ii) obtain information from TORQ® necessary to arrange for a ground or air freight service to pick up and deliver all of your TORQ® equipment to TORQ®.

•You and TORQ® agree that any dispute arising under or relating to your agreements or service with TORQ®, which cannot be resolved informally, will be resolved through binding arbitration as fully set forth in the TORQ® Customer Agreement. Arbitration means you waive your right to a jury trial.

•Term is one (1) year.

•Auto Bill Pay - Credit Card
I authorize TORQ to automatically charge my credit or debit card for my bill each month on the bill statement date. I have the right to stop the deduction by notifying my financial institution at least five (5) business days prior to the effective date. I release TORQ and all its affiliates from any and all claims arising from the use of the TORQ Automatic Payment service. Both my authorization and the TORQ Automatic Payment service will remain in full force and effect until revoked by me, my financial institution, or TORQ or one of its affiliates.

•Auto Bill Pay - Checking Account
I authorize TORQ and the financial institution named above to deduct the amount of my monthly bill from the account identified above. I understand my automatic payment will be deducted on the due date of each bill. I have the right to stop the deduction by notifying my financial institution at least five (5) business days prior to the effective date. I release TORQ and all its affiliates from any and all claims arising from the use of the TORQ Automatic Payment service. Both my authorization and the TORQ Automatic Payment service will remain in full force and effect until revoked by me, my financial institution, or TORQ or one of its affiliates.

•Paperless Billing - Terms & Conditions for Online Billing
Please read the following Terms and Conditions carefully, and complete this registration process if you would like to register for TORQ's Online Billing service ("Online Billing").
These are the Terms and Conditions for Online Billing. Please print a copy and retain it for your records. As used in these Terms and Conditions, "You" or "your" refers to the person responsible for the TORQ customer account who enrolls in Online Billing. "We", "us", or "TORQ" refers to TORQ, Inc.

General
With Online Billing, your monthly TORQ statement will be available for viewing online, according to your billing date, by logging on to your account at YOUTORQ.com (this "Website"). Each month, when your bill is ready to view, you will receive an e-mail message at the e-mail address that you provide in connection with your enrollment in Online Billing. To receive information electronically, including viewing your TORQ bill online, you will need a desktop or laptop personal computer with an Internet browser that supports 128 bit encryption. You must also have the ability to receive and read email through this computer.
By accepting these Terms and Conditions, (a) you are representing to TORQ that you are the person responsible for payment to TORQ under the applicable TORQ Customer Agreement; (b) you consent to receive your TORQ statement and related information electronically, as described herein, and (c) you are acknowledging that you can access information at this Website. Once you are enrolled in Online Billing, YOU WILL NOT RECEIVE A MONTHLY TORQ BILLING STATEMENT THROUGH U.S. MAIL.
These Terms and Conditions shall be construed under applicable federal laws and the laws of the state and local area where TORQ service is provided to you. If any provision of these Terms and Conditions is held to be invalid or unenforceable, that provision will be considered omitted from these Terms and Conditions without affecting the validity or enforceability of any other provision. We reserve the right to terminate access at any time to any account(s) viewed on the Website. We also reserve the right to change, delete, or add to any of these Terms and Conditions at any time, including, but not limited to, terms related to fees for Online Billing.

Passwords
If you forget your password, your may reset your password online. You understand that you have sole responsibility for the security of your password. You are solely responsible for notifying us of the loss or theft of a password. TORQ is not liable for any actions, claims, costs, damages, or expenses arising from lost, misplaced, or stolen passwords.

Email Address
You will notify TORQ immediately if your email address changes. In the event the email address on file is returned as invalid or undeliverable, and as a result your payment becomes past due, you authorize TORQ or its designated representative to call you at the telephone number that you provide in connection with your enrollment in Online Billing. You acknowledge that any such calls may be automated.

Computer Virus
You agree that you will be held liable for all damages related to or which flow from any computer virus that is received by TORQ through any means, including, but not limited to messages which may contain a virus, from your computer or server.

Effect on TORQ Customer Agreement
Your enrollment in Online Billing and your agreement with these Terms and Conditions shall have no effect on your TORQ Customer Agreement, and your TORQ Customer Agreement shall remain in full force and effect.

DISCLAIMERS AND LIMITATION OF LIABILITY.
WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE ONLINE BILLING SERVICE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY. WE ASSUME NO RESPONSIBILITY WITH RESPECT TO ANY USE OF TORQ ONLINE BILLING. YOU AGREE THAT WE SHALL NOT BE LIABLE FOR ANY SPECIAL INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR FOR THE LOSS OF PROFIT, REVENUE, OR DATA ARISING OUT OF THE SUBJECT MATTER OF THESE TERMS AND CONDITIONS. FURTHERMORE, YOU AGREE TO INDEMNIFY AND HOLD US HARMLESS FROM ANY ACTIONS, CLAIMS, DAMAGES, LIABILITIES, OR LOSSES ARISING FROM YOUR USE OF YOUR TORQ ONLINE BILL THAT IS NOT IN COMPLIANCE WITH THESE TERMS AND CONDITIONS.

Canceling Online Billing
If at any time after enrolling in Online Billing, you want to cancel the service and receive paper bills through the U.S. Mail, you may go to the "Customer Profile" page located within the "View My Bill" page, and click on "Discontinue TORQ Online Bill Access." Follow the instructions to cancel Online Billing. Once you have cancelled Online Billing, you will not be able to view your statements online each month.

ACCEPTANCE OF TERMS
By accepting the Terms and Conditions you are agreeing that (a) you have read and understood these Terms and Conditions; (b) you agree to be bound by them, and (c) you wish to register for Online Billing, which means you will not be receiving a paper bill each month.
